Terms & Conditions of Clisha Review

1. Scope of Application

These Terms & Conditions govern the contractual relationship between VQualis Limited, Grand Industrial Building, Office 7/F, 159-165 Wo Yi Hop Road, Kwai Chung, Hong Kong (hereinafter referred to as "Clisha Review"), and business customers (hereinafter referred to as "Customers") who use the Clisha Review platform for their company reviews.

This service is exclusively for businesses in accordance with commercial law. While private individuals may use the service, they are not the primary target group.

2. Subject of the Contract

Clisha Review provides business customers with the ability to generate personalized QR codes that direct their customers to a pre-review page for leaving feedback and reviews.

Additionally, customers can purchase stickers, cubes, displays, and other promotional materials designed for optimal QR code use.

3. Registration and Contract Conclusion

  • The customer must register on the Clisha Review platform and create an account.
  • The contract is established once Clisha Review confirms the registration and the chosen subscription payment is completed.
  • Clisha Review reserves the right to reject customers or suspend accounts in case of violations of these terms.

4. Pricing, Payment Terms & Subscription Duration

  • Clisha Review operates on a monthly or annual subscription basis.
  • Monthly Subscription: €14.90 per month (cancelable with one month's notice).
  • Annual Subscription: €149 per year.
  • Lifetime License: One-time payment of €499, valid for the core product "Clisha Review Core."
  • Additional pre-review pages can be purchased for €4.90 per month or €49 per year.
  • Payment is processed via the available payment methods (credit card, PayPal, etc.).

5. Usage Rights & QR Code Restrictions

  • The generated QR code remains the property of Clisha Review and is only provided for use within the active subscription.
  • Copying, modifying, or independently printing the QR code is strictly prohibited.
  • The QR code may only be used on products provided by Clisha Review (stickers, displays, cubes, etc.).
  • Using the QR code on self-produced or externally created materials is not allowed.
  • Clisha Review reserves the right to disable access to the QR code or suspend the customer's account in case of violations.

6. Cancellation & Account Suspension

  • Monthly and annual subscriptions renew automatically, unless canceled at least 3 days before the renewal date.
  • Non-payment results in temporary account suspension until the outstanding balance is settled.
  • Lifetime licenses remain active, but only for the core product "Clisha Review Core". Future additional features may require separate payments.

7. Liability & Warranty

  • Clisha Review is not liable for misdirected reviews, system failures, or technical errors.
  • Clisha Review is not responsible for third-party misuse of QR codes.
  • Customers are responsible for keeping their login credentials secure to prevent unauthorized access.

8. Data Protection & Use of Data within the VQualis Ecosystem

  • Clisha Review collects and processes personal data in accordance with privacy policies.
  • Business customer data may be used within the VQualis ecosystem to improve services and provide personalized recommendations.
  • No data will be sold or shared with external third parties without consent.

9. Governing Law & Jurisdiction

  • The governing law is Hong Kong law, as Clisha Review is registered there.
  • The jurisdiction for disputes is Hong Kong, unless mandatory legal provisions dictate otherwise.

10. Amendments to the Terms & Conditions

  • Clisha Review reserves the right to change these Terms & Conditions at any time.
  • Any changes will be published on the website and will take effect 14 days after publication, unless the customer objects.
